1. Acceptance of these terms

By creating an account or using Nexa (the "Service"), you agree to these Terms of Service. If you are using the Service on behalf of an organization, you agree on its behalf and confirm you have authority to do so. If you do not agree, do not use the Service.

2. Your account

You are responsible for your account and for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You must provide accurate information and be old enough to form a binding contract in your jurisdiction.

3. Workspaces, roles, and access

Access and billing are organized around workspaces. A personal workspace is private to its owner; a team workspace is controlled by its owner and admins, who manage departments, members, invitations, and what content each member can access. Workspace admins are responsible for who they invite and the permissions they grant.

4. Acceptable use

You agree not to: (a) upload or share unlawful, infringing, or harmful content; (b) attempt to access data, accounts, or workspaces you are not authorized to access; (c) disrupt, overload, reverse engineer, or probe the Service or its security; (d) use the Service to build a competing product by scraping or bulk extraction; or (e) use the Service in violation of applicable law.

5. Your content

You retain all rights to the documents, recordings, notes, and other materials you add ("Your Content"). You grant us a limited license to host, process, index, transcribe, and generate answers over Your Content solely to provide the Service to you and your workspace. You are responsible for having the rights necessary to upload Your Content and for how you use the outputs.

6. AI features

The Service uses automated systems and third-party AI models to transcribe recordings, search your content, and generate answers. AI output can be incomplete or incorrect and should not be relied upon as professional advice. Answers are grounded only in content you are authorized to access; you are responsible for verifying outputs before relying on them.

7. Subscriptions and billing

Paid plans are billed to the workspace. By subscribing, you authorize recurring charges for the plan and billing period you select until cancelled. Plan limits and features apply from your active plan and may change when you upgrade or downgrade. Except where required by law, fees are non-refundable. We may change pricing prospectively with reasonable notice.

8. Data and privacy

We process Your Content to operate the Service and enforce workspace boundaries so your data is not exposed to other workspaces. Our handling of personal data is described in our Privacy Policy. You are responsible for complying with the laws that apply to the data you upload.

9. Third-party services

The Service integrates third-party providers (for example, AI model, storage, and infrastructure providers). Their availability and terms may affect the Service, and we are not responsible for third-party services outside our control.

10. Intellectual property

The Service, including its software, design, and branding, belongs to us and our licensors. These Terms grant you no rights to our trademarks or to the Service except the limited right to use it as permitted here.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access that violates these Terms or creates risk for the Service or other users. On termination, your right to use the Service ends; we may delete data after a reasonable period in line with our retention practices.

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.

13. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Our total liability for any claim relating to the Service is limited to the amount you paid for it in the twelve months before the claim.

14. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Your continued use of the Service after changes take effect means you accept the updated Terms.
